- Introduction
This Agreement contains the complete terms and conditions that apply to your participation in the Cherry Roam Affiliate Program (the “Program”). By applying to the Program, you (“Affiliate,” “you,” “your”) agree to be bound by these Terms and Conditions.
- Program Enrollment
To begin the enrollment process, you must submit a complete application via our designated platform. We reserve the right to accept or reject your application at our sole discretion. Reasons for rejection may include, but are not limited to, a website or social media channel that:
- Promotes violence, discrimination, or illegal activities.
- Contains sexually explicit material.
- Infringes on intellectual property rights.
- Is otherwise deemed unsuitable for our brand.
- Affiliate Links and Promotional Methods
- Linking:Upon acceptance, you will be provided with a unique affiliate link and/or QR code to promote Cherry Roam. You are responsible for ensuring your link is correctly formatted.
- Permitted Promotion:You may promote Cherry Roam on your approved websites, social media channels, email lists, and in physical locations (for retail partners). All promotional methods must be truthful, ethical, and align with Cherry Roam’s brand guidelines.
- Prohibited Activities:You must NOT:
- Use “spam” or unsolicited commercial email (UCE).

- Engage in deceptive advertising, such as fake “click here” buttons.

- Use cookie-stuffing techniques to force tracking.

- Bid on paid search keywords containing “Cherry Roam,” “CherryRoam,” or any misspellings thereof.

- Create social media profiles or domains that impersonate Cherry Roam.

- Engage in any activity that violates the laws of the Republic of the Philippines or the country of your residence.
- Commissions and Payment

- Earning Commissions:You will earn a commission on a “Sale.” A “Sale” is defined as a completed transaction by a customer who has clicked your unique affiliate link and made a purchase, provided the customer does not request a refund or chargeback.

- Commission Rate:The current commission rate is [e.g., 15%] of the Net Revenue (sale price minus taxes and payment processing fees). We reserve the right to change commission rates with a 30-day written notice.

- Cookie Duration: The referral cookie duration is [e.g., 30 days]. This means you will earn a commission on a customer’s initial purchase and any follow-up top-ups made within 30 days of their initial click.

- Payment Schedule:Commissions are paid monthly. Payments for commissions earned in a given month will be issued by the [e.g., 30th] of the following month, once they are cleared from the pending period. All payments will be made in Philippine Pesos (PHP) via bank transfer. Minimum payout threshold is [e.g., Php 5,000].
- Order and Customer Data
All personal and order information submitted by customers is the property of Cherry Roam. You have no rights to this data and must not use it for any purpose. All such data is subject to our Privacy Policy.
- Intellectual Property
We grant you a non-exclusive, revocable license to use the Cherry Roam trademarks, logos, and marketing materials (the “Licensed Materials”) provided to you solely for the purpose of promoting our products under this Agreement. You may not alter the Licensed Materials in any way without prior written consent.
- Term and Termination
This Agreement begins upon your acceptance into the Program. It is terminable by either party with or without cause, by giving the other party [e.g., 7 days] written notice. Upon termination, you must immediately remove all Cherry Roam banners, links, and logos from your site and cease all use of our intellectual property.
- Disclaimer and Limitation of Liability
We make no express or implied warranties or representations with respect to the Program or your potential to earn income. We will not be liable for indirect, special, or consequential damages arising in connection with this Agreement.
- Indemnification
You agree to indemnify and hold harmless Cherry Roam, its employees, and affiliates, from any and all claims, damages, and expenses (including attorneys’ fees) relating to your breach of this Agreement, your website, or your promotional activities.
- Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any dispute shall be subject to the exclusive jurisdiction of the courts of Mandaluyong City, Philippines.
- Modifications
We may modify any of the terms and conditions in this Agreement at any time at our sole discretion. Notice of changes will be posted on our affiliate portal or sent via email. Your continued participation in the Program following such notification constitutes your acceptance of the new terms.
